                                        Insurance Talent Network Employer Services Agreement

Effective Date: As of the date the Client signs the applicable quote or order form. Company: Great Job Spot, LLC and its affiliated job board properties, including but not limited to the Florida Talent Network and the Insurance Talent Network (“Company,” “we,” “us”). Client: The employer purchasing services (“Client”).  By signing a quote, order form, or otherwise purchasing Employer Services, Client agrees to these Terms & Conditions.

1. Scope of Services The Company provides employer recruitment advertising and related services (“Services”), which may include job postings, resume database access, job scraping, employer branding, and email delivery. Nature of Services: Services provided are advertising services only. The Company is not an employment agency, recruiter, staffing firm, or placement service. We do not guarantee applicants, interviews, hires, or specific hiring outcomes.

2. Term & Renewal The term of Services shall be as stated on the signed quote (“Term”).

• Services begin on the Start Date and continue through the End Date.
• Early termination by Client does not relieve payment obligations.
• Services expire automatically at the end of the Term.

3. Fees, Billing & Payment

• All fees are stated on the signed quote.
• Invoices are due Net 30 from invoice date unless immediate payment is required by the Order Form.
• All sales are final. No refunds or credits for unused postings, early termination, hiring freezes, or internal changes.
• Late payments may accrue interest at 1.5% per month. Company may suspend Services for non-payment.
• Client is responsible for reasonable collection costs, including attorneys’ fees.
• Entity Changes: Client remains fully liable for payment even if the Client undergoes restructuring, acquisition, merger, bankruptcy, or closure.

4. License to Use Client Content Client grants Company a non-exclusive, royalty-free license during the Term to publish job postings, display company name/logo, and promote Client as an employer across the Talent Network Sites. Client represents it has the legal right to submit all content.

5. Resume Database & Data Usage. If Services include access to a resume database, Client agrees to use such data solely for the purpose of filling current employment vacancies. Client shall not:

• Resell, share, or distribute candidate data to third parties.
• Use candidate data for mass marketing unrelated to employment, spamming, or multi-level marketing.
• Download the database in bulk or use automated scraping tools. Violation of this policy may result in immediate termination of Services without refund.

6. Distribution & Third-Party Visibility Client acknowledges that job postings may appear across Company-owned sites. Company is not responsible for unauthorized scraping or reposting by third parties.

7. Employer Responsibilities & Account Security Client is solely responsible for:

• Accuracy and legality of job postings.
• Compliance with all federal, state, and local employment laws (including EEO).
• Account Security: Client is responsible for maintaining the confidentiality of login credentials. Accounts may not be shared outside the Client’s organization.
• Prohibited Content: Discriminatory language, misleading roles, non-employment opportunities (MLMs), or illegal content. Company reserves the right to remove non-compliant postings.

8. No Guarantee / Disclaimer of Warranties Services are provided “as is.” Company makes no guarantees regarding candidate quantity, quality, time-to-hire, or website uptime. Company is not liable for delays or failure to perform due to causes beyond its reasonable control (e.g., natural disasters, internet outages).

9. Limitation of Liability To the maximum extent permitted by law:

• Company shall not be liable for indirect, incidental, consequential, special, or punitive damages.
• Company’s total cumulative liability arising from this Agreement shall not exceed the total fees actually paid by Client under this Agreement.

10. Indemnification Client agrees to defend, indemnify, and hold harmless Company from any claims, damages, or expenses (including attorneys’ fees) arising from Client’s job postings, hiring practices, or breach of this Agreement.

11.  Dispute Resolution, Governing Law & Venue

A. Governing Law: This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of law principles.

B. Mediation Requirement: As a condition precedent to filing any lawsuit, the parties agree to attempt to resolve any dispute arising out of or relating to this Agreement through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the matter to non-binding mediation.

• Location: The mediation shall take place in Orange County, Florida.
• Costs: The costs of the mediator shall be shared equally by the parties. Each party shall bear its own legal fees and costs associated with the mediation.
• Confidentiality: The entire mediation process shall be confidential and inadmissible in any subsequent legal proceeding.

C. Exceptions to Mediation Notwithstanding the foregoing, Great Job Spot, LLC reserves the right to bypass mediation and immediately file a lawsuit or initiate legal proceedings for:

1. Collection of unpaid fees or undisputed invoices;
2. Claims involving infringement or misuse of Company’s intellectual property; or
3. Injunctive relief to prevent immediate and irreparable harm.

D. Venue: If mediation is unsuccessful, or for claims falling under the exceptions in Section 11(C), any legal action must be brought exclusively in the state or federal courts located Orange County, Florida. Client hereby consents to personal jurisdiction and venue in these courts and waives any objection based on an inconvenient forum.

12. Entire Agreement & Acceptance These Terms & Conditions, together with the signed quote, constitute the entire agreement. By signing the quote or order form, Client confirms authority to bind the organization and acceptance of these Terms.
